GENERAL CONDITIONS OF USE OF THE COEO APPLICATION

 

The COEO application, available on the Play Store at the following url https://play.google.com/store/apps/details?id=com.dp.coeo and on the App Store at the following url https://apps.apple.com/app/coeo/id1592713452 , is published by COEO, a simplified limited company with single shareholder, with share capital of 1 000,00 Euro. Whose registered office is situated at - 69 Chemin des Vignes Prolongé, 13109 Simiane-Collongue. Registered at the Aix-en-Provence Trade Register under No. 890.808.793.

All data collected and processed by COEO is hosted by Google, in the Cloud Storage for Firebase in Frankfurt, Germany, called europe-west 3.

The data is therefore stored in the European Union.

Google has its parent company in the United States, the data stored is subject to Cloud Act legislation.

Any connection to the COEO application and any use of the services it offers are made within the framework of these General Conditions of Use (hereinafter "T & Cs").

Article 1. Field of application – Applicable Law – Settling of disputes

The T&Cs define the rights and obligations of the parties in connection with the use of the Application. They are the basis of a contractual relationship between the User and COEO.

 1.1 Conflict of standards

 These general conditions of use (T &Cs) define the main rules for using the Application. They are supplemented by an additional policy - the Privacy Policy. In the event of a conflict between the various policies resulting in a lack of accessibility, intelligibility and / or predictability of the rules, these T & Cs take precedence over the Privacy Policy.

1.2 Applicable law

These T & Cs are subject to French substantive law, to the exclusion of any conflict of law rules. 

1.2 Settlement of disputes

In the event of a dispute, the User undertakes, prior to any other legal or extra-judicial action, to contact COEO directly in writing (by e-mail or by post, at the e-mail or postal address communicated to the article 16 of the T & Cs) in order to try to resolve this dispute amicably.

In the event of failure, the Member is informed that he can choose to have recourse to mediation free of charge and can present any complaints on the dispute resolution platform put on-line by the European Commission at the following address: http://ec.europa.eu/consumers/odr/.

Any dispute or dispute relating to the formation, interpretation, execution or termination of these T&Cs or in connection with these T&Cs that could not be resolved amicably will be submitted to the competent courts of Paris (France).

Article 2. Acceptance of the General Conditions of Use

Use of the Services by the User is conditional on full acceptance of these T&Cs.

Any User who does not wish to adhere to these T&Cs will not be able to access the Application and use its Services.

The Terms of Service are binding on Users and COEO for the duration of the use of the Application. The invalidity of any clause of the General Conditions of Use does not affect the validity of the other clauses; it continues in the absence of the cancelled device unless the cancelled clause makes the continuation of contractual relations impossible or unbalanced with respect to the initial contractual stipulations.

Article 3. Modification and consultation of the General Conditions of Use

In order to adapt to regular changes to the Application, COEO may modify these T & Cs, at its sole discretion and without prior notice to Users. Continued use of the Application implies full acceptance by the User of any such changes.

Any User already registered will be informed upon logging into the Application or by any other means of the modification of the T&Cs and will be invited to consult the terms of the new T&Cs. If the User does not agree to the new T&Cs, they must express their refusal to COEO by email by contacting customer service. This refusal will result in the immediate closure of the User's account without this entitling him to any compensation.

All the provisions of these T&Cs can be viewed free of charge on the Application in the "Terms of Use", "T&Cs" section.

Article 4. Presentation of the Application

The COEO application (hereinafter "the Application") is an application for connecting professionals and / or individuals. Coeo is a real facilitator of meetings through the different places or events that are shared there, whether in the professional or personal circle. COEO is also a vector of communication for business or personal meetings, to promote events, disseminate news to members of a club, company or association.

The user can create places and events and add news to them, the objective is to generate networking opportunities, to manage their network of professional or personal acquaintances.

The application provides services (hereinafter "The Services" or "Service") allowing the user (hereinafter "The User (s)") to create/find events/places around him through its geolocation but also to chat with other users and expand its network.

COEO's Services are open to any natural person over 21 years of age.

Registrations are limited to one User account (hereinafter the “Account) per person. The User must have provided all the required registration data, including exact contact details and a valid email address.

Registration is carried out for an unlimited period, without prejudice to the possibility for each of the parties to unilaterally terminate, at any time, without notice or justification, these contractual relations.

COEO is authorized to use all measures necessary to prevent or detect any illicit or fraudulent use of its Application, or of the Services offered therein. COEO also reserves the right to exclude and/or ban completely and permanently, without compensation, the Account of any person who does not fully comply with these T & Cs.

Although COEO takes great care in administering the Application, COEO cannot, however, guarantee the accuracy, precision and completeness of any information, Services, or events present on the Application.

Nevertheless, COEO undertakes to make its best efforts to verify the quality, security and accuracy of the information and data available on the Application as well as to ensure its proper functioning, but COEO cannot be held responsible. the inaccuracy of said information.

Article 5. Definitions

Application : the COEO application, available on the Apple App Store and the Google

Profile: personal space dedicated to the User on the Application, which he accesses by registering and connecting to the Application. It allows the User to access the Services. A User can only have one Account.

Facebook Connect/Google Connect/ Apple Connect : feature that allows Members to use their third-party account to identify themselves on the Application in order to simplify the registration procedure.

Messages : Only Users who have established contact can initiate the "Chat" action in the App, and send each other Messages. Messages are visible in the messaging accessible in the Application.

Article 6. Accessibility

The Application is in principle accessible 24/ 4h, 7/7d, except interruption, scheduled or not, for the needs of its maintenance or in case of force majeure. COEO ensures accessibility of its Application of 99% (ninety-nine percent) on average per year. Periods during which the servers are not accessible due to technical or other problems which are not the responsibility of COEO (force majeure, network connection problems, problems related to third-party software and equipment, etc.) are not taken into account. third parties etc.) as well as the periods during which routine maintenance work is carried out.

COEO may restrict access to the services if the security of the operation of the network, the maintenance of the integrity of the network, in particular to avoid serious disruptions to the network, software or data backup, make these measures necessary. Being in fact subject to an obligation of means, COEO cannot be held liable for any damage, whatever its nature, resulting from the unavailability of the Application.

Article 7. Registration and Account Access

7.1 How to download the Application

The Application is available on the legal download platforms of Apple and Google. It can be downloaded for free from the Apple App Store and the Google Play Store, on iPhones running IOS version 10 or higher or Android smart phones using version 5 or higher.

7.2 Member's right to registration

When the necessary conditions for User status are met, COEO assigns the Member, on a personal basis, an Account containing:

  • A profile form
  • An instant messaging box
  • A “notifications” option

A Member can only have one Account.

7.3 Member’s obligations upon registration

 The Member must be at least 21 years of age and guarantees that all the information he communicates when registering is accurate and up to date.

Registration is done through these alternative means:

🡪 Via Facebook Connect : the social network allows COEO to use the profile picture, first name, age deducted from the date of birth to constitute a "profile" file. Consequently, the User must verify the authenticity of his information on Facebook before registering for the Services.

🡪 🡪 Via the registration form : in this case, no information about the Member can be automatically retrieved and the User must create a User account (hereinafter the “Account”) using the on-line registration form provided. for this purpose. The user remains free at any time to modify the content of the Personal Data communicated on this occasion but undertakes that they are nevertheless complete and accurate.

Via the Registration Form for opening their Account, the User must therefore provide during registration, their title, first name, last name, and valid e-mail address. Do not use disposable / temporary email addresses, choose a password of at least 8 characters that will allow him to access the Application.

The User agrees to keep his password confidential. He remains solely responsible for the conservation and use of his username and password, and in particular for the inability to access his account by forgetting the username and/or password.

Upon validation of the Form, the User will receive an email inviting them to click on a link to confirm their registration.

Access to their Account is then made by entering their username and associated password.

🡪 Via Apple or Google sign in : it is up to the User to provide information concerning him, such as first name, last name, gender, date of birth as well as other additional information if desired.

When registering, the Member consents to these T&Cs and the Privacy Policy and undertakes to comply with the obligations for which he is responsible, in particular those mentioned in the Member's Code of Conduct defined in Article 8 of these T&Cs.

After registering the User and opening his Account, use of the Application is valid for an indefinite period. COEO grants a license, limited to the access and use of the Application, to the User.

However, if the User's Account is inactive for more than 3 months, it can be deleted at any time without notice. The deletion is total.

COEO reserves the right to temporarily suspend access to your Account: (a) during scheduled downtime for upgrade and maintenance; (b) during any downtime due to circumstances beyond our reasonable control, including, but not limited to, acts of God, government actions, terrorist acts or riots, technical failures or actions taken by third ; or (c) if we suspect or detect malicious use of the Application.

Article 9. Security of exchanges

COEO undertakes to take all technical and legal measures necessary to secure exchanges, block the misappropriation of data, in particular personal data, and comply with the applicable regulations in force. This COEO commitment constitutes an obligation of means and not of result.

Article 10. Responsibility

Connection to the Application implies knowledge and acceptance by the User of the characteristics and limits of the Internet, in particular concerning technical performance, response times for consulting, querying or transferring information, the risks of interruption, and more generally, the risks inherent in any connection and transmission over the Internet, the lack of protection of certain data against possible misappropriation and the risks of contamination by possible computer viruses circulating on the network.

Consequently, COEO cannot under any circumstances be held responsible, without this list being exhaustive:

  • ● The transmission and/or reception of any data and/or information on the Internet;
  • ● Any malfunction of the Internet network preventing the smooth running and / or functioning of the Application;
  • ● Failure of any receiving equipment or communication lines;
  • ● Loss of any message and, more generally, loss of any data;
  • ● The operation of any software;
  • ● The consequences of any virus or computer bug, anomaly, technical failure;

  • ● Any technical, material and software failure of any kind, having damaged the equipment of a User.

COEO cannot be held liable for any malfunctions of the Internet network resulting in failures in the administration, security, integrity or management of the data of an Account.

The connection of any person to the application and the use of the service offered is under their sole responsibility. It is the responsibility of each User to take all appropriate measures to protect their own data and/or software stored on their equipment/smartphone against any attack. Furthermore, COEO can naturally not be held liable for the difficulties or impossibilities of Users' connections to the Internet.

Any development or change in the Application may result in an update and/or temporary unavailability, which in no way engages the responsibility of COEO.

Likewise, COEO reserves the right to add, interrupt or suspend one or more features offered on the Application, at any time and without notice, without having to justify it. In this case, COEO cannot be held liable in any way for this fact and Users cannot claim any compensation of any kind.

COEO may be led to offer Users access to third-party sites or participation in loyalty programs, marketing or any other activities taking place on a website or a third-party program. In this case, COEO cannot assume responsibility for the activities of these third parties and urges its visitors to take note of the T&Cs of the proposed participation. In particular, the third-party sites visited by the User or the advertisements appearing on the Application may contain "cookies". Cookies are small texts sent by a website to your browser and which are stored on your equipment, they are mainly tracking cookies for targeting and the production of statistics. These are managed by third parties independent of COEO under their sole responsibility, it being specified that COEO has no access to the data that could be obtained by means of these "cookies".

Article 11. Duties of the User

COEO makes its Services available to Users using an application developed in flutter with a Firebase database.

Flutter is the framework developed and supported by Google that offers an alternative to React Native. It allows you to develop an application on iOS and Android by sharing the same code base. Flutter is the second most used cross-platform application development framework by software developers worldwide in 2019-2020.

COEO is adaptive technology. The software required on the User's mobile device, in particular the operating system and, where applicable, also plug-ins are neither made available nor installed by COEO.

11.1 Duty of security

COEO specifies that its application is optimized for mobile devices running Android 10 and later and IOS 12 and later. It is up to the User to use one of these operating systems to benefit from the best experience and to avoid any possible problem with the versions and / or compatibility of the application and the operating systems.

COEO cannot be held responsible for any problems arising from the use of another operating system by the User.

It is up to the User to maintain his mobile device in a state allowing him to use the Application. COEO therefore does not provide any technical support during the installation of the necessary software locally. The User agrees to keep his access data (Username, password, etc.) strictly confidential. The User will immediately inform COEO of any security breach or unauthorized use of his Account of which he becomes aware. If third parties use the Services with access data to a User's Account due to facts attributable to him, the User will then be held liable vis-à-vis COEO in the event of a dispute.

COEO is authorized to consider any access to the User's access data as access by the User himself. COEO advises that passwords should be changed regularly for security reasons.

In the event of non-compliance with the obligations inherent to his liability above, the User's access to his personal space may be, immediately and without notice, temporarily or definitively suspended by means of the deactivation of his Account. without prejudice to other rights of COEO.

In general, the User guarantees the company COEO against any request, claim and/or order for damages of which it could be threatened or be the object, and/or which could be pronounced against it, including the costs lawyers and/or expertise that could have been exposed, since these would have for cause, basis or origin the violation of these T & Cs.

COEO has no influence on such events. However, any danger inherent in viruses can never be completely ruled out. In addition, it may happen that unauthorized third parties send emails using COEO's name without its consent, and that these may contain viruses or Spyware or hyperlinks on web pages containing viruses or Spyware. : COEO has no influence on such events. The User must therefore examine all emails originating from COEO or apparently sent on its behalf in order to guard against possible viruses. This also applies to emails from other Users.

11.2 The obligation of loyalty and honesty when registering

In order to acquire the status of User, it is necessary to meet all of the following conditions:

  • • Fulfil the conditions of international majority (be over 21).
  • • Have completed the information in a sincere and truthful manner either on their Facebook profile or directly on the Application in the event of registration via the registration form, via Apple or Google Sign. The User must have communicated the first name, sex and date of birth assigned to him on his civil status documents. Failing this, the User agrees to correct the errors on his Facebook profile and activate the synchronization of information between his Facebook profile and his Account. At the same time, the Member agrees to provide a valid e-mail address.

COEO has neither the legal obligation nor the technical means to verify the identity and age of Members. In the event that the User is unable to provide said proof, or in the event of a proven violation of these T & Cs, COEO may delete the User Account in question in accordance with the conditions described in article 17.3 hereof.

The User agrees to have only one single account. Failing this, COEO may terminate subsequent accounts, under the conditions described in Article 17.3 hereof.

11.3 The obligation of honesty and loyalty during use

In order to remain a User, all of the following conditions must be respected:

  • • Do not affect, in any way whatsoever, the normal operation of the Services as well as the infrastructure of the Application.
  • • Do not modify, copy, assemble, decompile, or attempt to use the source codes, algorithms and software of the Application, as well as those of COEO partners for purposes other than those provided for in these general conditions, and especially for reverse engineering purposes.
  • • Do not use robots or tools other than those made available by COEO within the Application when making contact with others.
  • • Do not use the Application to organize professional services (Escorting or similar services).
  • • Do not canvass other Users in order to promote paid products or services.
  • • Do not disclose to other Users your login information, in particular the password and the identifier of your Account.
  • • Do not advertise or otherwise incite the use any other service, competitor or not, and do not commit acts of unfair competition.

The User is also prohibited from making any copy and / or distribution, and / or transfer of technical data that he or she enters.

11.4 Personal use

The User agrees to use the Application only for personal purposes. The COEO network must not be used for commercial, promotional, electoral or recruiting purposes. Sending messages for marketing and/or commercial purposes and/or newsletters via the Application's messaging system which include, in particular, but not exhaustively, content, indications or hypertext links referring to sites or company media third parties, and in particular competitors of COEO, is strictly prohibited.

11.5 Responsibility of the Member

The User is solely responsible for his actions and the data he publishes through the Application.

If the responsibility of COEO were to be sought in the context of the non-compliance by the User of his obligations, the Member guarantees COEO against any conviction pronounced against him, finding its origin in the transgression of the law or of these T&Cs by the user.

The User may report illegal content that violates laws and regulations or these T & Cs by means of the reporting tools provided by the Application in accordance with Article 12.2 of these T&Cs.

11.6 Photos

All photos of a pornographic, exhibitionist or indecent nature and generally contrary to morality are strictly prohibited. The publication of such photos constitutes serious misconduct, which may give rise to the suspension and/or termination of the Account, without prejudice to other penalties which may be imposed by law.

11.7 Real meetings

COEO warns Members who wish to have “real” meetings. It is entirely up to Users to verify the identity of the people with whom they organize these meetings. The conduct of these "real" meetings is organized independently of COEO, under the sole responsibility of the User who created the event. COEO cannot be held liable for acts and incidents, whatever their nature, committed or provoked by Users and/or former Users during events taking place following the use of the Application. In this regard, COEO messaging voluntarily offers the advantage, again in order to preserve the peace and security of its Users, of allowing them to decide who will be authorized to see their profile and to chat with them.

Regarding the people with whom the User has agreed to exchange his personal bubble, it is strongly recommended not to reveal personal information that does not appear on the profile of the Application. COEO strongly advises, as a safety measure, to organize real meetings only in heavily frequented public places or to warn a loved one and to disclose their contact details only after a reasonable period of time.

11.8 Account maintenance

The User must regularly consult his messaging system and his notifications by which COEO will keep him informed, among other things, of information relating to its Services and of any modifications and updates made. This information may also be sent by email to the User's email address obtained via Facebook Connect or directly provided during registration.

The User can access the Services of his Account by connecting to the Application using a confidential username and password. The Member is solely responsible for his connection information and must ensure that no third party can access it. In particular, the User guarantees COEO of any communication or use or declaration made through his Account.

11.9 Equipment

The equipment (hardware or software) necessary for access to the Services as well as all other related costs, including telecommunications costs are the sole responsibility of the User. He is solely responsible for the equipment used within the framework of the Service.

Article 12. Liability of COEO

12.1 Illegal behaviour 

COEO and its partners can in no way be held responsible, in any capacity whatsoever, for illegal actions punishable by civil or criminal penalties, committed by its Users, among which and in a non-exhaustive manner:

  • • All types of scams
  • • All commercial or professional activities
  • • Prostitution
  • • Identity theft
  • • The infringement of all third party intellectual property rights,
  • ● The infringement of personality rights, such as the right to image and the right to respect for private life.

12.2 Community reporting and moderation system

COEO is not legally bound by any general obligation to monitor content transmitted or stored through the Application.

The only obligations inherent in the quality of COEO host concern:

  • ● The fight against certain content,
  • ● The conservation of your connection data, which is also covered by professional secrecy and processed in compliance with the legal provisions regarding Personal Data,
  • ● The withdrawal of any clearly illegal content as soon as we have actually become aware of it.

Under Article 6.I-5 of the Law for Confidence in the Digital Economy of June 21, 2004: knowledge of contentious content is presumed acquired when the host is notified:

  • • The identity of the sender of this content
  • • Description of the disputed facts (with the possibility of attaching screen shots of the disputed content)

COEO has therefore provided the Application with a community moderation system allowing Users to report the content referred to in Article 6.I-7 of the LCEN if they constitute in particular the defence of crimes against humanity, a provocation to the commission of acts of terrorism and their apology, incitement to racial hatred, to hatred towards people on account of their sex, their sexual orientation or identity or their handicap as well as in particular the child pornography, incitement to violence, incitement to violence against women, as well as attacks on human dignity.

Guided by a particularly rigorous professional ethics in this regard and refusing to be associated as much with violent or insulting Users as with illegal, abusive and harmful comments or content, the COEO teams attach paramount importance to this reporting procedure, which can also be implemented in the event of remarks contrary to decorum.

This is why, when the content published by a User is the subject of such a report, including in the context of the messaging functionality, the User at the origin of the publication of this content is likely to see his Account suspended or even deleted, under the conditions provided for in Article 17.3 hereof, on the basis of the evidence provided by the issuer of the report, in order to ensure the removal of the contentious content in accordance with COEO's legal obligations .

The User whose published content is the subject of a report will under no circumstances be informed of the identity of the author of the report.

12.3 Rules of prudence

The User is solely responsible for verifying the identity of the people with whom he could organize a "real" meeting. COEO can in no way be held responsible in the event of an incident of any nature whatsoever during a "real" meeting.

Likewise, the Member is also solely responsible for verifying the identity of the Contacts with whom he could choose to communicate by Messaging and organize a "virtual" meeting. COEO can in no way be held responsible in the event of an incident arising of any nature whatsoever during a "real" meeting.

Article 13. Protection of the privacy and personal data of Users

In accordance with European Directive 2016/679 of 27 April, 2016, repealing Directive 95/46/EC (general data protection regulation) on the protection of individuals with regard to the processing of personal data and the free movement of this data, the people who, having connected to the Application and answered the registration questions in order to access it and access its Services, have a right of opposition, access and rectification of data concerning them.

Consequently, any user registered on the Application has the right to demand that any information concerning him which is inaccurate, incomplete or out of date be rectified, completed, clarified, updated or deleted.

This Policy has been developed by COEO so that any User can use the application and use its Services with confidence. Its purpose is therefore to inform the User about the information that may be collected and the use that can be made of it. It also informs him of his rights to the data collected concerning him.

Article 14. Intellectual property

The COEO company is the exclusive owner of all intellectual property rights both on the structure and on the content of the COEO Application or has regularly acquired the rights allowing the use of the structure and content of the Application, without any limitation.

Accordingly, the Application, as well as the illustrations, logos, service marks, trade names and programs used on the Application, including all software, are the property of COEO and are protected, at this title, by the provisions of the Intellectual Property Code.

Reproduction, downloading or any other use of trademarks is prohibited without the express permission of COEO.

Any unauthorized reproduction of these brands, logos and content constitutes an infringement liable to criminal penalties.

All software and developments used on the Application and those to which it allows access, as well as the texts, comments, illustrations or images reproduced on the Application and on those to which it allows access are subject to a copyright and their unauthorized reproduction constitutes an infringement liable to criminal penalties.

From their access to the Application, the company COEO grants the User a private, non-exclusive and non-collective right of use, to the exclusion of any lucrative use.

Subject to the rights granted above to the User, it is in particular forbidden to copy, reproduce, represent, modify and / or exploit, in any way and for any purpose whatsoever, all or part of the structure. and content of the COEO application.

Article 15. No waiver

The fact that COEO does not invoke a default or a breach of the User in any of its contractual or legal obligations cannot be interpreted as a waiver to take advantage of this failure or this breach.

The fact that COEO does not avail itself of a stipulation of these T&Cs does not imply a waiver of the benefit of that stipulation.

Article 16. Modification and termination of our Services

COEO regularly modifies and improves its services. We are therefore likely to modify, add or remove features.

The user can stop using the Services at any time. COEO is entitled to cease providing all or part of the Services, or to add or create new limits on the use of the Services at any time.

The user remains the owner of the data that he entrusts to COEO.

Article 17. End of the contract

17.1 Uninstalling the Application

The User can uninstall the Application from their mobile at any time without notice. Therefore, they will no longer be able to access the Application unless they download it again.

  • • Uninstalling the Application does not delete the account. It is therefore recommended that you delete your account from the Application before uninstalling it.
  • • Uninstalling the Application does not affect the legal obligation to retain data.

17.2 Account deletion

The User may decide to permanently delete his Account at any time and without notice, by means of one of the following alternatives:

By deleting it itself from the App by going to App settings> My profile> Delete my account.

By sending an e-mail or letter to COEO whose postal address and e-mail address appear in Article 18 hereof.

Therefore the profile will be permanently deleted.

When deleting the Account:

  • • The profile will be made invisible to other Members.
  • • The data will be deleted permanently.

The User will not be able to reactivate his old Account.

17.3 Suspension/Termination of the Account by COEO in the event of a Member's breach of the T & Cs

In the event of a breach of the T & Cs, his Account may at any time be suspended as a precaution and then automatically terminated by COEO.

COEO may suspend the Account for the period necessary for verifications carried out by COEO customer service following a report.

The User is invited to contact COEO customer service by e-mail in order to obtain more information on the reasons for the suspension of his account, to make any observations and / or to provide proof that the breach has been repaired.

If within 30 days of the Account suspension notification, the User has not contacted customer service or if the elements provided to customer service have not made it possible to repair the breach, COEO may notify the User of the termination of his Account via the Application and/or by e-mail and inform the User of the period during which he will not be able to re-register for the Application. In the absence of clarification, this period is set at 1 year from the notification of the termination of the Account.

When deleting the Account:

  • • The profile will be made invisible to other Members.
